Subject: UTILITY REORGANIZATION                                          

Discussion:

John H. Mueller, Senior Vice President and Chief Nuclear Officer,        
announced that the following changes to the Niagara Mohawk Electrical    
Generation - Nuclear organization will take effect on March 9, 1998:     
                                                                         
John T. Conway, previously Vice President - Nuclear Engineering, will    
become Vice President - Nuclear Generation.  The position of Vice        
President - Nuclear Generation is a new position responsible for the     
overall operation and maintenance of both Nine Mile Point units.         
Mr. Conway will report directly to Mr. Mueller.                          
                                                                         
Richard B. Abbott, previously the Unit 1 Plant Manager, will replace     
Mr. John Conway as Vice President - Nuclear Engineering.  Mr. Abbott will
report directly to Mr. Mueller.                                          
                                                                         
Robert G. Smith, previously the Unit 1 Operations Department Manager,    
will replace Mr. Richard Abbott as the Unit 1 Plant Manager.  Mr. Smith  
will report to Mr. Conway.  No permanent replacement for the Unit 1      
Operations Department Manager has been announced.
