Subject: TVA ORGANIZATION CHANGE                                         

Discussion:

On December 4, 1997, TVA announced that John Scalice, Site Vice          
President, Watts Bar Nuclear Plant, has been promoted to Senior Vice     
President of Nuclear Operations for TVA Nuclear.  In his new position,   
Mr. Scalice will be responsible for the overall management of TVA        
Nuclear's three operating sites, Nuclear Security, and Process Methods.  
He filled the position vacated by O. J. Zeringue, who was recently named 
Chief Nuclear Officer and Executive Vice President. Mr. Scalice will     
continue to serve as Site Vice President, Watts Bar Nuclear Plant, until 
a replacement is chosen.
