Discussion:

Bill Cahill, Group Vice President of Nuclear Production, will be retiring
August 31, 1994, and effective September 1, 1994, will be replaced by    
Lance Terry.  Mr. Cahill will continue to work as a consultant to TU     
Electric on a part-time basis. Lance Terry, currently the Vice President 
of Nuclear Operations, will be replaced by Nick Paleologos, a loaned     
employee from INPO.
